Terms of Service

Last updated: June 27, 2026. These terms govern your use of Lodestar by WOLFE ("Lodestar," "we," "us"). By creating an account or using the service, you agree to them. If you do not agree, do not use Lodestar.

1. Who may use Lodestar

Lodestar is for licensed cannabis businesses and the people they authorize. By using it you represent that you hold the cannabis licenses you claim, that the information you provide is accurate, and that you have authority to bind your business to these terms. We may verify or decline any account at our discretion, and access is gated by an invite code we issue.

2. What Lodestar is, and is not

Lodestar is software that helps you run your back office: bookkeeping, vendor payment preparation, 280E tax tracking, Metrc-related compliance tracking, and inventory. Lodestar is a software tool only. It is not a bank, a money transmitter, a payment processor, a law firm, an accounting firm, or a tax advisor, and it does not provide legal, tax, accounting, or financial advice.

3. No professional advice

Reports, 280E calculations, compliance alerts, vendor scores, and other outputs are informational aids generated from your data. They are not advice and are not a substitute for your own attorney, CPA, or compliance professional. You are responsible for reviewing every output with a qualified professional before relying on it, filing it, or acting on it.

4. Payments and money movement

When you approve a vendor payment, Lodestar generates a bank-ready NACHA file. You download that file and submit it to your own bank. Lodestar never holds, receives, transmits, or takes custody of your funds, and no money moves automatically. You are solely responsible for reviewing each payment for accuracy and for submitting it to your bank, and for any fees, errors, returns, or losses arising from payments you submit. You are responsible for maintaining your own banking relationships and complying with your bank's and NACHA's requirements.

5. Compliance is your responsibility

Cannabis, tax, banking, and traceability compliance is your legal obligation, not ours. Lodestar's compliance features are aids to help you stay organized; they do not guarantee compliance and do not prevent violations, fines, or penalties. We do not warrant that any output is complete, accurate, current, or sufficient for any regulator. You remain responsible for your filings, your Metrc reporting, and your adherence to all applicable laws.

6. Acceptable use

  • Use Lodestar only for lawful purposes and only for licensed cannabis operations you are authorized to manage.
  • Provide accurate, current information and keep your credentials confidential.
  • Do not attempt to access another tenant's data, probe or breach security, reverse engineer the service, or disrupt it.
  • Do not use Lodestar to facilitate any activity that is illegal under the laws that apply to you.
  • Certain parties are excluded from the service at our discretion and may not register or be onboarded.

7. Accounts, roles, and security

You are responsible for activity under your account, for the staff you invite, and for the access levels you assign them. Notify us promptly of any unauthorized use. We may suspend access to protect the service or other users.

8. Your data

Our handling of your data is described in our Privacy Policy, which is part of these terms. You retain ownership of the data you put into Lodestar. You grant us the limited rights needed to operate the service for you (for example, storing and processing your records and generating your reports).

9. Fees

Paid plans are billed as described in the order or plan you agree to. Fees are non-refundable except where required by law or expressly stated. We may change pricing on renewal with notice.

10. Disclaimer of warranties

Lodestar is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any output is accurate or fit for your purposes.

11. Limitation of liability

To the maximum extent permitted by law, Lodestar and WOLFE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, fines, penalties, or tax liabilities, arising from or related to your use of the service. Our total liability for any claim will not exceed the amount you paid us for the service in the three months before the claim. Some jurisdictions do not allow certain limitations, so parts of this may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Lodestar and WOLFE from claims, losses, and expenses (including reasonable legal fees) arising from your use of the service, your data, your payments, your compliance obligations, or your breach of these terms.

13. Suspension and termination

You may stop using Lodestar at any time. We may suspend or terminate access for breach of these terms, non-payment, suspected misuse, or to comply with law. On termination, you may export your data as described in the Privacy Policy; some records are retained as required by law.

14. Changes

We may update the service and these terms. If we make a material change, we will provide reasonable notice. Continued use after a change means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in New Jersey, and you consent to their jurisdiction.
